Terms of use

The terms for this site, and the agreement behind the software.

Short, in plain words, and dated. The signed customer agreement governs the software; this page says what it commits both sides to.

These terms cover the use of this website, syswerxintel.com. Use of the SYSWERX software itself is governed by a written agreement between SYSWERX LLC and each customer, summarized at the end of this page.

Using this website

  • Information, not advice. The guides and other pages on this site explain laws, lists and agency rules in plain language. They are written with care and dated, but they are general information, not legal advice, and they can fall behind a change in the law. Check the controlling source before you rely on a date, a threshold or a list.
  • What you may do. Read the site, link to it, and quote short passages with attribution. Please ask before reproducing a page or a guide in full.
  • What you may not do. Copy the site's design, code or illustrations for another product; probe, scan or overload the site or its services; or use the site to send unsolicited messages.
  • Ownership. The site, its text, illustrations, software and the SYSWERX name and marks belong to SYSWERX LLC. Government documents the site quotes or links to belong to their publishers.
  • Links to other sites. The site links to statutes, agency notices and other public sources. Those sites have their own terms and their own policies.
  • No warranty for the site. The site is provided as is. SYSWERX LLC does not promise that it is always available or free of errors, and is not liable for losses that arise from relying on it.

Requesting a demo

Sending a demo request does not create an account or a contract. It asks us to get in touch, which we do by email. What we keep from a request, and for how long, is in the privacy policy.

The software: a summary of the customer agreement

Access to SYSWERX is by a signed Software License Agreement and the Acceptable Use Policy that goes with it. Both are provided to the institution before anything is signed, and the signed agreement governs if it differs from this summary. The commitments that matter most:

What the software is

  • A screening and prioritization aid. It helps an analyst decide where to look first. It does not make findings or determinations, and it does not establish that anyone has done anything wrong.
  • Every result is a signal for a qualified person to examine, with its sources cited so that examination is possible.

Responsible use

  • A qualified analyst reviews every result before it is used for any purpose.
  • No adverse action is taken, or recommended, on the basis of the software's output alone. Matches are corroborated against the controlling source first.
  • Nationality, ethnicity, national origin and name are never scoring inputs, and the software is never used to screen, sort or treat anyone on the basis of a protected characteristic.
  • Screening uses a current, signature verified watchlist feed. Output produced with an expired or unverified feed is not relied on.
  • Results about an identifiable person are shared only with those who need them within the institution's research security function, and as the law allows.

Data

  • The customer owns its data: the identities it submits, its screening records, cases, notes and the documents it chooses to keep.
  • SYSWERX hosts that data in the customer's private, access controlled storage to provide the service, does not sell it, share it with other customers or use it to train any model, and returns and deletes it at the end of the agreement on request.
  • The customer is responsible for having a lawful basis to collect and keep what it submits, including under FERPA, Title VI and applicable state privacy law.

Licence and ownership

  • The customer receives a limited licence to use the software and the watchlist feed for its own internal research security and export control compliance work, for the people it names, during the term.
  • SYSWERX LLC keeps all rights in the software, the feed and the documentation. The feed is compiled from open sources and authority lists to assist screening; the controlling lists remain the authority.

Term, fees and support

  • Agreements run for a stated term and renew unless either side gives notice. Fees, the term and support are set out in the written quote and order for each institution.
  • Either side may end the agreement for a material breach that is not cured within the notice period. A breach of the responsible use commitments is grounds for suspension.

Governing law

SYSWERX LLC is a South Carolina limited liability company. These website terms are governed by the laws of the State of South Carolina, and any dispute about this website is heard in the courts of South Carolina. A customer's signed agreement states its own governing law.

Changes to these terms

When these terms change, the date at the top changes with it. Continued use of the site after a change means acceptance of the new terms; a customer's signed agreement changes only in writing.
